MEMBERSHIP CONSTITUTION The CLUB BAUR AU LAC was founded by Charles Kracht and a company of like-minded associates as a private initiative in 1970. It is primarily dedicated to the advancement of social and cultural objectives. Home of the CLUB BAUR AU LAC to this day is the patrician Villa “Rosau”, which was completely renovated with great dedication and sensitivity from 2016-2020. As a private institution, the Club Baur au Lac is open only to registeredmembers and their guests. The Club, represented by a Committee of at least five people, is an autonomous entity. As such, it is free to act and formulate rules and by-laws as it sees fit. The Committee reserves the sole right to accept or reject applications for membership of the CLUB BAUR AU LAC and, where necessary, to bar existing members. The exclusive private club is strictly interdenominational and pursues neither political nor economic goals.

- 2 - PREAMBLE embership of the CLUB BAUR AU LAC is open to ladies and gentlemen aged 25 years and over who are recognized as members by the Committee. Applicants for membership must be proposed by two Club members (sponsors) who know the candidate personally and very well, have themselves been members of the Club for at least two (2) years and do not belong to the same company or family as the candidate (see Organizational Matters, paragraph 5). Each of the two proposers must write a substantive and personal letter of recommendation (reference), which is to be addressed to the Committee of the CLUB BAUR AU LAC. For his part, the applicant is requested to submit an application for admission and his detailed résumé, including a photograph, and to subsequently contact the secretary’s office to ascertain whether his dossier is complete. The „Daughters & Sons“ membership is intended exclusively for 25-30 year-old applicants of whom one parent is already a member of the CLUB BAUR AU LAC. In all other matters, the same application criteria and conditions of admission apply. The Committee decides on the application for admission at its sole discretion. M
- 3 - ORGANIZATIONAL MATTERS 1) The Club Committee consists of at least five members. The Committee accepts or rejects candidates for membership, has the power to bar members where necessary, and lays down the Club by-laws. 2) If a vacancy arises, the Club Committee itself appoints a replacement. The Committee elects its own chairman. 3) The Committee meets twice a year. Additional meetings may be convened where the Committee judges this to be necessary. 4) The Committee alone decides on the interpretation and application of the Club by-laws. Members’ liability for the financial obligations of the Club is precluded. 5) Applications for the membership should be addressed to the Committee of the CLUB BAUR AU LAC, Claridenstrasse 10, 8002 Zürich, together with the the following documents: - A completed application form and detailed résumé, including a photograph - Letters of recommendation (references) from two existing Club members
- 4 - The following persons are not permitted to submit recommendations: - Committee members - Members of the candidate’s family - Club members who belong to the same company as the applicant - Club members with less than two (2) years’ standing. Above all, letters of recommendation must clearly state the personal and professional ties that exist between the Club member issuing the reference and the person applying for membership. A Club member may support no more than two candidates in the course of one calendar year. 6) Members can use the Club’s rooms and facilities Monday through Friday from 10:00 a.m. through 12:00 midnight and on Saturdays from 6:00 p.m. through 12:00 midnight. Hot meals are served until 10:00 p.m. For special events, exceptions to these opening hours can be agreed on by prior arrangement. It is also possible to book the villa exclusively for events on Saturdays.
- 5 - 7) The Club remains closed on Sundays. In addition, the Club closes for three weeks in the summer and for two weeks over Christmas and the New Year (subject to change). 8) The parking spaces immediately surrounding the Clubhouse are reserved exclusively for the use by members and guests of the CLUB BAUR AU LAC while they are attending the Club. 9) Members most notify the secretariat of any changes of address that are of relevance to written communiqués by the Club. 10) Membership expires - On the death of a member. - If a member cancels his membership. Written notice of cancellation must be submitted to the secretary’s office by the end of the given fiscal year (as of December 31). If notice is not served by this date, the departing member will be required to pay his full annual subscription for the fiscal year following notice of cancellation. Exceptions may be approved by the Committee. - If a person is barred from the Club. If a member fails to fulfill his duties toward the Club and/or behaves in a
- 6 - manner that is deemed damaging to the Club’s reputation, the Committee may, at its sole discretion, resolve to bar that member from the Club. Detailed reasons for such expulsion must not be stated. The member must, however, be notified in writing. Members may also be barred on account of payment arrears if these are not remedied even after the member has received two written reminders.
- 7 - PRIVILEGES 1) During regular opening hours, all the Club’s rooms and facilities are at the disposal of its members. These are – on the ground floor: the Club bar, the Club restaurant with the summer terrace and adjacent garden area, where catering is provided only during the summer months – on the first floor: the vestibule, the Club Restaurant and the Smokers Lounge - and on the second floor: a boardroom and conference room. The restaurant on the Bel Etage can be divided into private salons that can be books for exclusive use, as can the conference rooms on the second floor. Where rooms are booked for exclusive use, minimum consumption of food and beverages starts at CHF 500.00 per half-day and varies depending on the specific room. If actual consumption falls below this level, the difference will be added as a rental charge. 2) Partners of members are in possession of their own digital partner card. When accompanied by a member, partners are entitled to use all the Club’s facilities at all times. Partners not accompanied by a member are welcome to take lunch in the Club restaurant on the Bel Etage or, in the summertime, under the pergola in the garden. 3) For special events, members can book the Club’s facilities exclusively on Saturdays. Members who plan to hold such special events are requested to notify the secretary’s office at the earliest possible date.
- 8 - 4) Before private salons can be reserved, it must be ensured that at least one Club member will be in attendance at the event concerned. Said Club member is also responsible for the nature of the event and the costs incurred. To ensure that such events run smoothly, menus should be pre-ordered in cases where more than ten (10) people will be attending. 5) Members are kindly requested to sign up in good time if they wish to attend the monthly “Club Table”. Details of this recurring event are posted regularly on the Club’s website (www.cbal.ch). 6) Members are free to bring along personal guests after having familiarized them with the Club’s house rules. Charges incurred by guests will be invoiced to the member who brought them. Guests leave the Club with the member who invited them. 7) The CLUB BAUR AU LAC maintains amicable relationships with a selected group of private clubs outside Switzerland. Members of the CLUB BAUR AU LAC are welcome to attend these clubs as guests. (See page 112 in the Club Annual or refer to our website www.cbal.ch for the entire list).
- 9 - 8) Members of partner clubs outside Switzerland are free to use the facilities of the CLUB BAUR AU LAC during regular opening hours. To visit the CLUB BAUR AU LAC, they need only present a letter of introduction issued to the member concerned by their home club. All invoices made out to members of partner clubs must be paid before they leave the premises. Members of partner clubs may attend the CLUB BAUR AU LAC no more than ten times in any one calendar year. Should a member of a partner club be staying in Switzerland for an extended period and wish to attend the CLUB BAUR AU LAC on a regular basis, a commensurate annual fee will be charged by agreement with the Committee.
- 10 - HOUSE ETIQUETTE 1) We kindly ask our guests to dress to the occasion and be respectful in their choice of attire. Men must wear jackets/Blazers in all Club rooms. Ties are welcomed – especially in the evening – but not compulsory. Ladies are requested to dress to a comparable standard. Jeans, trainers of any kind, flipflops, casual shirts, T-shirts, shorts, leggings and sport tenue are undesirable. In the summer months, gentleman may remove their jackets on the terrace. Guests who accompany Club members are subject to the same dress code. Where necessary, members are requested to inform their guests of this dress code. 2) The use of mobile phones is prohibited in the Club, except in the lobby and in the private salons on the first and second floor. Members are kindly requested to mute their phones when entering the restaurants, and to ensure that their guests too aware of this rule. 3) Newspapers and magazines are not to be removed from the Club premises. 4) The Club attaches singular importance to discretion. You are therefore kindly requested only to take photographs for private (i.e. non-commercial) use, and to ensure that you take no pictures of guests whom you do not know personally.
- 11 - BY-LAWS 1) The CLUB BAUR AU LAC is open only to its members and their personal guests. 2) Membership of the CLUB BAUR AU LAC is open to ladies and gentlemen aged 25 years and over who are recognized as members by the Committee. The Committee states no reasons for its acceptance or rejection of applications. 3) Members are prohibited from using the Club’s name either for advertising or for any other commercial purposes. 4) Both the member’s and the partner’s digital card (see Privileges, paragraph 2) provide proof of personal identity and are not transferable. 5) The Club annual presented to you when you joined the Club contains an up-to-date directory of members. It is a confidential document that is circulated only to members of the CLUB BAUR AU LAC. This directory may neither be used for advertising purposes nor disseminated to third parties. 6) No lists are to be posted, collections organized or advertising materials deposited or distributed without the prior consent of the Club Committee. 7) During the week, children over 12 years of age are welcome to the Club restaurant. At weekends, we look forward to
- 12 - welcoming families with children of all ages to the Club restaurant. Children are admitted to the private salons at all times. 8) Dogs are not admitted to the Club rooms. During the summertime they are allowed on a leash in the garden and on the terrace. 9) Representatives of the media (press/TV) are not permitted to access any part of the Clubhouse. In exceptional cases, applications for one-off approval by the Club Committee may be submitted to the secretary’s office.
- 13 - FINANCES 1) An admission fee is levied when membership of the Club commences. All categories of members (Full Members, Overseas Members, Evening Members, Daughters & Sons) are required to pay the same one-off admission fee, which is invoiced to each new member upon acceptance of his application. Payment is due within 30 days. 2) The Club’s fiscal year runs from Januar 1 through December 31. Annual subscription fees are levied for each fiscal year and invoiced at the start of each year. Invoices are payable within 30 days. Where membership is granted during the course of a fiscal year, proportional subscription fees are levied to cover the remainder of the current fiscal year. Annual subscription fees cannot be paid by credit card. 3) The Committee of the CLUB BAUR AU LAC sets both the admission fee and the annual subscription fee per member and fiscal year. Pursuant to a court decision by the Swiss Federal Tax Administration (FTA), sales tax (value-added tax) is payable on the admission fee and the annual subscription fees. 4) Overseas Members (whose permanent domicile is outside Switzerland), Evening Members (who attend the Club only after 6:00 p.m.) and Daughters & Sons (aged 25 – 30 years and with at least one parent who is a member) pay a reduced
- 14 - annual subscription fee. 5) Members of the CLUB BAUR AU LAC receive monthly invoices for food and drinks consumed at the Club and for services provided by the Club. These monthly invoices are to be paid within 30 days of receipt. Food and drinks consumed at the Club can, however, be paid for by credit card at any time. 6) Unlike at many English clubs, it is customary at the CLUB BAUR AU LAC to give tips to the staff. This can be done in person at the table, by automatically specifying an amount in our POS system or in form of a Christmas bonus.
- 15 - LIABILITY PROVISIONS 1) The CLUB BAUR AU LAC accepts no liability for the loss of personal effects by Club members and their guests, for the theft of vehicles parked in and around the Club’s garage, or for the theft of personal effects from the interior of vehicles. 2) Any person causing damage to the Club property shall be personally liable for said damage. 3) The Club accepts no liability for damage to vehicles when these are being parked or maneuvered by Club or valet staff.
